eG Codes

Terms of Service

eG Codes · Version 1.0 · Effective

1. The agreement

These Terms are an agreement between you and EG insight Design (Eddie Gibson), Atchison, Kansas (“we”, “us”), for the eG Codes service (“the service”). By creating an account, subscribing or using the service you agree to these Terms, to the Privacy Policy and to the Refund and Cancellation Policy, which are part of this agreement. If you use the service for an organization, you confirm you may bind it. If you do not agree, do not use the service.

You must be at least 13 to use the service, and an adult able to enter a contract to pay for a plan.

2. The service

eG Codes lets you design QR codes, download them as images and print files, publish a code as a tappable image, and (on plans that include them) create dynamic codes: codes that point to a short link on our servers so that you can change where they lead after they are printed, and see scan statistics. A static code contains its destination directly and does not depend on us once you have it.

Which features and limits you have depends on your plan, and may be adjusted for an individual account by us. The features and prices on the pricing page and the Account page at the time you subscribe are the ones that apply to you.

3. Accounts and teams

4. Your codes and content

You keep ownership of your designs, logos and the destinations you choose. You give us permission to store, host and display them (including the public image of a code you publish) so that we can provide the service. You promise that you have the right to use everything you upload or link to, and that your use does not break the law or anyone’s rights. You are responsible for where your codes lead and for telling the people who scan them what you do with the statistics (see the Privacy Policy, section 4).

5. Dynamic codes and your plan

A dynamic code works only while its account has a plan that includes it. Printing one means relying on us for as long as your plan lasts. In particular:

  1. Free plan. The Free plan does not include dynamic codes.
  2. When a plan ends or gets smaller. This happens when a free trial ends without a subscription, when a subscription is cancelled and its paid period ends, when payment fails for good (section 6.7), or when you move to a smaller plan. Your account then has the limits of its new plan.
  3. Grace period. For 7 days (we may change this period for new cases with notice) dynamic codes above the new plan’s limit keep redirecting as before.
  4. Pause. After the grace period, the oldest dynamic codes within the new plan’s limit stay live and the rest are paused: anyone who scans a paused code sees a page saying it has been paused instead of reaching your destination. On the Free plan, which allows no dynamic codes, that means all of them.
  5. Nothing is deleted. We do not delete your codes because a plan ended. Paused codes keep their short links and statistics. If you subscribe again (or move to a plan that fits), paused codes are switched back on straight away.
  6. Static codes are not affected.
  7. Suspension. If we suspend an account (section 9 or 16), its dynamic codes stop redirecting until the suspension ends.
  8. Plan limits that are not enforced by switching you off. Monthly scan allowances are soft limits: if you exceed one we may ask you to move to a larger plan, but we do not stop your codes redirecting only because of it.

If we ever decide to close the service, we will give you at least 30 days’ notice by email where we can, so you can replace printed codes.

6. Plans, trials, billing and renewal

6.1 Prices

Plans and their prices, in US dollars, are those on the pricing page and shown again on the checkout screen before you pay. We may agree a custom price for your account; it is shown on your Account page and applies to the plan it was agreed for. Prices do not include any sales tax or similar tax that applies; if we are required to collect tax we will show it before you pay.

6.2 Free trial

New accounts may get a free trial of a paid plan (the plan and length are shown in the app; currently 14 days of Pro). No card is needed to start a trial. A trial turns into a paid subscription only if you add a card and choose a plan during the trial; in that case your card is charged for the first period when the trial ends, and not before (the charge is made by our daily billing run, so it may fall up to a day after the trial’s last moment). If you do not choose a plan, the trial simply ends, you move to the Free plan, and nothing is charged. Section 5 explains what happens to dynamic codes. One trial per account.

6.3 Subscribing and automatic renewal

You subscribe by choosing a plan, choosing monthly or yearly billing, and entering a card. Before your card is charged we show you the plan, the price, the billing interval, the date of the first charge and of the next renewal, and ask you to tick a box agreeing to these Terms and authorizing recurring charges. Your subscription renews automatically at the end of each month or year, on the same date, and we charge the card on file the price in effect on the renewal date, until you cancel. You authorize us and our payment processor to do this. We keep a record of what you agreed to.

6.4 Changing plan

6.5 Price changes

We may change prices. We will tell you at least 30 days before a change affects your subscription, and it applies from your next renewal after that; you can cancel before then. A change to a custom price you agreed with us applies from the next renewal and never in the middle of a paid period.

6.6 Payment method

You must use a card you are allowed to use. Card details are handled by our payment processor, NMI, and are never stored by us (see the Privacy Policy). You can replace your card at any time in Account → Billing. You are responsible for keeping the card on file valid.

6.7 Failed payments

If a renewal payment is declined we will email you and try again: 1 day, 3 days and 7 days after the first failure, with an email each time. Your plan stays in place while we retry, and updating your card makes us retry straight away. If the last retry fails, your subscription ends and the account moves to the Free plan, and section 5 applies (grace period, then pause). We remove the card on file. You can subscribe again with a working card at any time.

6.8 Receipts

We email a receipt for each payment and you can view and print them in Account → Billing.

7. Cancellation

You can cancel at any time in Account → Billing. When you cancel, you keep your plan until the end of the period you have already paid for, you are not charged again, and then the account moves to the Free plan (section 5 applies). You can undo a cancellation any time before that date. Cancelling during a trial removes your card and you are not charged. More detail is in the Refund and Cancellation Policy.

8. Refunds

Refunds are covered by the Refund and Cancellation Policy. In short: we do not give refunds for part of a period that has been paid for, except as that policy says, where the law requires it, or at our discretion.

9. Acceptable use

You may not use the service, or create a code that leads to a destination, that:

If we reasonably believe a code or account breaks these rules, or we receive a credible report that it does, we may pause or disable the code, remove the content, or suspend the account, with or without notice (we will try to tell you first where it is safe and practical). We may report illegal activity to the authorities. Pausing a code for this reason does not entitle you to a refund.

10. Custom domains

On plans that include it you may point a subdomain you control (for example go.yourcompany.com) at our service. You must own or control the domain and keep its DNS records correct; we cannot help if your registrar or DNS provider changes them. A domain can belong to only one account. Once a code has been downloaded or printed, its domain is fixed, because changing it would break the printed code.

11. Third-party services

The service relies on providers such as Google (hosting, database, sign-in), NMI (payments) and SendGrid (email). Their availability and terms are outside our control. Links in your codes lead to sites we do not own or control, and we are not responsible for them.

12. Availability

We work to keep the service running, but we do not guarantee that it will be available, uninterrupted or error-free. There may be outages, maintenance and bugs. We do not offer a service-level agreement or credits for downtime. Do not rely on a dynamic code for anything where a short outage could cause harm, and keep your own copy of important destinations.

13. Disclaimers

The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. The scan-check we run on a design is a helpful test, not a guarantee that every phone, camera, print process or lighting condition will read a printed code. You are responsible for testing printed codes before a print run.

14. Limitation of liability

To the fullest extent the law allows: (a) we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill, or the cost of reprinting materials; and (b) our total liability for everything related to the service is limited to the amount you paid us for the service in the 12 months before the event that gave rise to the claim, or $100 if you paid nothing. Some places do not allow these limits, so they may not fully apply to you. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You will defend and reimburse us against claims, losses and costs (including reasonable legal fees) arising from your content, your codes’ destinations, your use of the service in breach of these Terms, or your breach of anyone’s rights.

16. Termination

You can stop using the service and cancel at any time (section 7), and can ask us to delete your account (see the Privacy Policy). We may suspend or end your access if you break these Terms, if you do not pay, if required by law, or if we stop offering the service (with the notice in section 5). When an account ends, dynamic codes stop working and your data is deleted as the Privacy Policy describes. Sections that by their nature should survive (such as limits of liability, indemnity and governing law) do.

17. Changes

We may update these Terms. We will post the new version here with a new version number and date, and tell account owners by email or in the app at least 30 days before a material change affects them. If you keep using the service after the change takes effect you accept it; if you do not agree, you can cancel first. A new Terms version may require you to confirm the renewal agreement again at your next checkout.

18. Governing law

These Terms are governed by the laws of the State of Kansas, United States, without regard to its conflict-of-law rules. Before starting a formal dispute, please write to us so we can try to resolve it informally. Any claim must be brought in the state or federal courts located in Kansas (Atchison County, or the U.S. District Court for the District of Kansas), and you and we consent to those courts.

19. General

These Terms, the Privacy Policy and the Refund and Cancellation Policy are the whole agreement between us about the service. If a part is found unenforceable the rest stays in effect. If we do not enforce something it does not mean we give it up. You may not transfer your account or these Terms without our consent; we may transfer them as part of a sale or reorganization.
